Here are some examples of our experience.
We acted for a large company in the construction sector on a number of business and company restructurings in a significant project involving substantial valuations/assets. The restructuring involved:
- the reconstruction of a business and its transfer to a newly incorporated company in exchange for the issue of shares.
- all advice on company law and corporate governance issues, such as profits available for distribution, the issue price of shares and the corporate capacity of the transferee.
- advice in respect of financial assistance, transactions involving directors and loans to directors.
- detailed consideration of declarations of, conflicts of interests, interests in contracts, interests in shares and/or debentures of the relevant companies involved.
We advised an international group, in respect of its Irish subsidiary, on Irish redundancy law, pooling, fair selection and the correct manner and conduct of the process involving employees. We negotiated and completed satisfactory compromise agreements and dealt with the successful settlement of unfair dismissal claims.
